- Appoint a Local Agent :Foreign companies should appoint a reliable local agent who is a resident in Cambodia to handle legal and official documents.
- Rent an Office Space :Secure a physical office space, as a local address is necessary for registration. Virtual office addresses are acceptable as long as they are set up appropriately.
- Choose a Company Name: Select a unique name and ensure it is not similar to any existing registered company. This will be checked and reserved through the Ministry of Commerce.
- Prepare Key Documents :Draft your Articles of Association/Incorporation, which outline the structure and rules governing your company. This should include details such as share structure, director’s duties, and business objectives.

- Online Registration: Use the MoC's online business registration portal.
- In-Person Registration: Submit your documents to the MoC’s Department of Business Registration.
- Passport copies of foreign owners and directors

Registration Steps
- Register a Business: The Ministry of Commerce (MOC) is responsible for all matters concerning business registration and trademark management in Cambodia. They have simplified the business registration process by introducing online registration options.
- Register a Business Tax Number and Patent: Enroll with the General Department of Taxation(GDT) to obtain a tax identification number (TIN). This involves submitting an application along with proof of business registration and other relevant documents.
- Open a Bank Account: Open a corporate bank account in Cambodia. This may require the presence of company directors and substantial documentation, including your business registration certificate.
- Register Employees and Declare Business Opening: If you plan to hire employees, you must also register your business with the Ministry of Labour and Vocational Training(MLVT). This includes submitting a declaration of opening, internal regulations, and employee contracts.
- Register for Employees: Businesses with employees are required to register with the National Social Security Fund (NSSF) for social security purposes.
- Register Business License (some business natures): Depending on the nature of your business, additional licenses from relevant ministries such as the Ministry of Health or the Ministry of Tourism might be required.
